Acknowledgement and Acceptance of Terms of Access and Use

By accessing www.m-co.com (the M-co Website), you agree to be bound by the general terms of access and use set out below (the Terms). The Marketplace Company Limited (M-co) reserves the right to amend these Terms at any time, and you are deemed to be aware of, and bound by, the amendments to these Terms upon publication on the M-co Website. We recommend that you review the Terms periodically.

Intellectual Property

All materials displayed on the M-co Website, including (without limitation) all texts, graphics, names, logos and trademarks on the M-co Website (the Content) are protected by copyright, trademark and other intellectual property laws. All rights, titles and interests in the Content are exclusively owned, licenced or controlled by M-co or the party credited as the provider of the content.

Nothing in these Tems can be construed as granting to you ownership or, or any other rights or interests in, the Content and the M-co Website.

Provision of the M-co Website

M-co will endeavour to make the M-co Website and its Content available at all times although it does not guarantee uninterrupted and fault-free service. You acknowledge that the provision of the M-co Website depends on the provision of facilities and services from other suppliers, including Internet service providers and other entities such as Telecom (together the Suppliers).

You acknowledge that M-co or its Suppliers may need to interrupt your access to, and use of, the M-co Website from time to time to undertake necessary remedial and/or preventative work. In these circumstances, M-co will endeavour to minimise the level of interruption as much as reasonably practicable.

M-co is not obliged to provide access to the M-co Website and its Content, or to perform any other obligations under these Terms, to the extent that it is prevented from doing so by events beyond its reasonable control, including (without limitation) industrial disputes, failures by Suppliers and/or loss of power or other essential services.

Access to and use of the M-co Website

You may have access and use of the M-co Website and its Content for your business and for yor personal use and information only. M-co grants to you a limited, non-exclusive licence to view, copy, reproduce, reformat and print the Content for your non-commercial, internal business purpose.

All copies of the Content that you make must retain all copyright and other notices that are on the version on the M-co Website.

Except as provided in the previous provisions, you must not copy, store, use, modify, transmit, revise, reverse engineer, publish, reproduce, display or create a derivative work from, distribute, sell, licence or otherwise transfer any of the Contents to a third party (including, without limitation, other third parties within your organisation) for commercial use or otherwise without M-co's prior written permission. All requests for such permision regarding the Content must be in writing and must be sent to the Chief Executive Officer, The Marketplace Company Ltd. 

You must not use the M-co Website or the Content in any manner or for any purpose that is unlawful, or in any manner that violates any right of M-co or that is otherwise prohibted by the Terms. M-co may (in its sole discretion) terminate your access to, and use of, the M-co Website at any time if it believes that you have breached this term or any other Terms.

You will be responsible for your own interpretation and use of the Contents, including all conclusions, opinions, recommendations and forecasts that you develop as a result of using the Content.

Links to External Sites

The M-co Website includes links to external websites. These links are provided to help you access additional information quickly and easily. M-co accepts no responsibility for the quality, accuracy, completeness and reliability of the content on these external websites.

Disclaimer

The Content on the M-co Website is derived from sources belived to be accurate and current. However, due to the number of sources from which the Content may be obtained and the inheriant hazards of electronic distribution, M-co does not:

• give any representation or warranty about the quality, accuracy, completeness and reliability of the Content;
• warrant that any of the functions contained in the M-co Website or your access to the site will be uninterrupted and error-free.

To the fullest extent permitted by law, M-co will not be liable in any way for any direct, consequential, incidental, indirect loss or damages of any kind however arising (whether in negligence or otherwise) out of, or in connection with, the Content and/or any omissions from the Content, including (without limitation) those arising from:

• any decision made or action taken by you in reliance on the Content;
• loss of use, data or profits, whether arising from use of, or inability to use, any Content on the M-co Website (or any website linked to the M-co Website);
• contigencies outside of M-co's control;
• negligence of M-co in procuring, compiling, interpretingm editingm writing, reporting or delivering any Content; or
• any other cause.

Indemnity

You must indemnify and hold M-co harmless and keep M-co indemnified for, and against, all loss, actions, proceedings, costs, expenses (including legal fees), claims and damages that M-co incurs as a result of:

• you breaching the Terms;
• your reliance on any information obtained through or from the M-co Website;
• your access and/or use of the M-co Website; and
• reliance upon, or use of, any Content by any person accessing such content from your computer systems.

Violations of the Terms

M-co reserves the right to seek all remedies available at law and in equity for violations of the Terms, including (without limitation) the right to terminate your access and use of the M-co Website.

Governing Law

The M-co Website is controlled by M-co from its office in Wellington, New Zealand. By accessing the M-co Website, you and M-co agree that all matters relating to your access to, and use of, the M-co Website shall be governed by, construed and enforced in accordance with, the laws of New Zealand without regard to conflicts of law principles. Any dispute arising from or in connection with these Terms are suject to the exclusive jurisdiction of the courts of New Zealand.

Severability

Any provision or part provision in these Terms, which are declared invalid shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.
